Darklight Interactive Software License Agreement

This Software License Agreement ("Agreement") is made between Darklight Interactive ("Licensor") and the recipient of the Software ("Licensee").

Grant of License

Licensor grants Licensee a non-exclusive, non-transferable license to use the Darklight Interactive Core Plugin ("Software") for internal business purposes or specific projects, subject to the terms and conditions of this Agreement.

Acknowledgment Requirement

• Licensee agrees to acknowledge the use of the Software in any publications, presentations, or products that use or incorporate the Software.
• The acknowledgment should include the following text: "This project uses software developed by Darklight Interactive."

Restrictions

• Licensee may not modify, reverse engineer, decompile, or disassemble the Software without prior written consent from Licensor.
• Licensee may not distribute, sell, lease, or sublicense the Software to any third party without prior written consent from Licensor.
• Licensee may not use the Software to create derivative works without prior written consent from Licensor.

Future Sales Option

• Licensor reserves the right to sell the Software or transfer ownership at any time. In such an event, Licensee will be notified, and the terms of this Agreement will remain in effect until the end of the current license period.

Support and Updates

• Licensor may provide updates to the Software at its sole discretion.
• Support services, if any, will be provided as specified in a separate support agreement.

Term and Termination

• This Agreement is effective as of the date of receipt of the Software and will continue in effect until terminated by either party.
• Either party may terminate this Agreement with 30 days' written notice.
• Licensor may terminate this Agreement immediately if Licensee breaches any terms of this Agreement.

Limitation of Liability

• The Software is provided "as is" without warranty of any kind, express or implied.
• In no event shall Licensor be liable for any damages arising out of or in connection with the use or performance of the Software.

Entire Agreement

• This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
