Quilibrium Community Treasury Governance

A community working draft for governance rules around the Quilibrium Community Treasury.

What this is

A public draft document exploring how the Quilibrium Community Treasury should operate: signer responsibilities, spending guardrails, conflict-of-interest handling, transparency, amendment processes, and so on.

This was started as a personal working draft inspired by community proposals around treasury governance, particularly the cautionary tale of how the EOS foundation evolved over time. The goal is to think through these questions in public, surface gaps, and develop something the current treasury signers might eventually adopt formally.

What this isn't

This is not an official treasury document. The current Treasury Signers have not formally endorsed these rules. Nothing here is binding. It's a draft.

If/when signers formally adopt some version of this document, the rules around amendments will tighten accordingly. Until then, treat this as a public reasoning space.

Current treasury context

The Quilibrium Community Treasury today is a 3-of-5 Gnosis Safe multisig on Ethereum, funded entirely by community donations. There is no premine, no token allocation, no Q Inc. backing. It's a fair-launch project's community treasury, structurally different from the typical chain-foundation model. See docs/quilibrium-context.md for fuller background.

How to contribute

Anyone is welcome to:

  • Open an issue to question a rule, raise a concern, or suggest a topic that's not yet covered.
  • Open a PR to propose concrete edits to the document.
  • Comment on existing issues and PRs.

The constitution's Doc 3 — Open Questions is structured around four genuinely unsettled questions. Each one has a corresponding GitHub issue where the discussion happens, since GitHub does not support inline comments on document text outside of pull requests. If you want to weigh in on donor recognition, equity in funded projects, yield strategy, or active trading of QUIL holdings, the linked issues from Doc 3 are the right place.

Maintainers merge changes based on the quality of reasoning and community discussion, not by formal vote. The document is meant to evolve through public input, not be locked down.

Maintainers handle the publication side of this draft: merging PRs, organizing the document, keeping it readable. Some maintainers are also Treasury Signers (currently lamat1111). Wearing both hats does not give maintainers governance authority over the treasury through this repo. Treasury authority comes solely from being a signer on the 3-of-5 Safe.

The constitution itself lives in constitution/, split into three working documents at different states of maturity:

Supporting material lives in docs/:

  • docs/quilibrium-context.md: project background for readers approaching the constitution who may not be deeply familiar with Quilibrium.
  • docs/governance-research.md: reference document compiling foundation, open-source, and crypto treasury governance examples that informed the constitution's structural choices.
  • docs/non-goals.md: what the constitution explicitly does not try to do (no community voting, no signer compensation, etc.) and why. Useful as a quick check before opening an issue. Note that several earlier non-goals have been demoted to open questions; that file flags the change.

A note on the constitution: several thresholds are still open questions and are marked "proposed default" in the rule body. Those are starting points, not commitments. constitution/03-open-questions.md lists them alongside the deeper unsettled questions.

This work is published under CC-BY-4.0, so the document can be referenced, forked, and adapted freely as long as attribution is preserved.
